Meeting Information

In addition to the meetings listed below, the fire department meets each Monday at seven (7) o’clock for training and general business of the membership.  Everyone with interest in the Fire Department is welcome and encouraged to attend these meetings. 

Section 3.8 Annual Meeting

An annual meeting of the Board of Directors and General Members shall be held on the third (3rd) Monday in the month of July in each year, at the hour of seven (7) o’clock, for the purpose of electing directors of the Board of Directors and for the transaction of such other business as may come before the meeting.

If the day fixed for the annual meeting shall be a legal holiday in the State of North Carolina or if a majority of the General Members of the fire department are on an emergency call, such meeting shall be postponed and held on another day. The Board of Directors shall by a majority vote pick another day no less than five (5) days and no more than thirty (30) days out from the third (3rd) Monday in July. All General Members shall be notified by posting the date and time of the rescheduled meeting in the training room of the main station.

Section 3.9 Regular Meetings

Regular meetings of the Board of Directors shall be held on the first (1st) Thursday of each month at 7:00pm. If the Regular Meeting does not take place on the date designated by these By-laws, a substitute regular meeting may be called by or at the request of the Directors or postponed to the following month.Section 3.10 Special Meetings

Special meetings of the Board of Directors may be called at the request of any two (2) Directors.Section 3.11 Emergency Meetings

Emergency meetings of the Board of Directors may be called at the request of any two (2) Directors, the Chairperson of the Board or the Fire Chief.

Section 3.12 Closed Session Meetings

Closed session meetings of the Board of Directors may be called at the request of any two (2) Directors, the Chairperson of the Board or the Fire Chief. Closed session meetings are for the following reasons only: Personnel issues, financial issues, or to obtain legal advice from counsel.

Section 3.13 Notice

Notice of the Annual Meeting shall be deemed given to each General Member upon adoption of these Bylaws, a copy of the adopted Bylaws placed in the Employee/Member Handbook located at the main station of the fire department.Notice of any special meeting of the Board of Directors shall be given at least three (3) days in advance of such meeting by written notice delivered personally, by a text message or telephone call (including leaving a voice message), or seven (7) days’ notice sent by mail, facsimile or email, to each Director at his/her address as shown by the records of the corporation. If mailed, such notice shall be deemed to be delivered when deposited in the United States mail in a sealed envelope so addressed, with postage thereon prepaid. If notice is given by facsimile or email, such notice shall be deemed to be delivered when transmitted. Attendance by a Director at a meeting shall constitute a waiver of notice of such meeting, except where a Director attends for the express purpose of objecting to the transaction of any business because the meeting is not lawfully called.

Notice of any emergency meeting of the Board of Directors shall be given at least twenty-four (24) hours in advance of such meeting by written notice delivered personally, by text or telephone call (including leaving a voice message). Attendance by a Director at a meeting shall constitute a waiver of notice of such meeting, except where a Director attends for the express purpose of objecting to the transaction of any business because the meeting is not lawfully called.Notice of a closed session meeting is immediate. The Board must be in an annual, regular, special, or emergency meeting at the time the Chairperson of the Board, Fire Chief or at the request of any two (2) Directors to go into closed session.

Section 3.16 Persons Attending Meetings

Persons other than Directors may attend any regular, special, or emergency meeting of the Board, in a non-voting capacity, at the invitation of the Board or one of its members.Persons other than Directors may attend any closed session meeting of the Board, in a non-voting capacity, at the invitation of the Board by a majority vote of directors present. A Board Member, Fire Chief or any other person can be asked to leave a closed session meeting by a majority vote of the Directors present.
